TERMS AND CONDITIONS

Welcome to Quikfuzion.

These Terms and Conditions (“Terms”) govern your access to and use of the Quikfuzion website, including www.quikfuzion.com, and any related websites, pages, demonstrations, applications, software, platforms, features, content, and services made available by Quikfuzion (collectively, the “Services”).

By accessing or using our website or Services, you agree to these Terms. If you do not agree with these Terms, you should not access or use the Services.

These Terms constitute an agreement between you and Quikfuzion (“Quikfuzion,” “we,” “us,” or “our”).

ABOUT QUIKFUZION

Quikfuzion is a technology company providing software and technology solutions primarily for the insurance industry.

Our products and services may include, among other things:

  • AMP Agency Management Platform;

  • FuzionAI;

  • artificial intelligence-assisted data extraction and processing;

  • insurance agency management functionality;

  • ACORD forms and related insurance forms;

  • carrier and policy download capabilities;

  • data conversion and migration services;

  • accounting and financial management functionality;

  • document management;

  • communications and email integrations;

  • electronic signature functionality;

  • integrations with third-party insurance and technology providers;

  • reporting and analytics;

  • voice-assisted functionality;

  • customer portals; and

  • other technology, software, services, integrations, and features that Quikfuzion may make available from time to time.

The availability and functionality of individual products and features may vary.

WEBSITE TERMS VS. CUSTOMER AGREEMENTS

These Terms primarily govern use of Quikfuzion’s public website and Services generally.

Customers who purchase or subscribe to AMP, FuzionAI, data conversion services, or other Quikfuzion products may also enter into a separate:

  • Master Services Agreement;

  • Software License Agreement;

  • Subscription Agreement;

  • Order Form;

  • Statement of Work;

  • Data Processing Agreement; or

  • other written agreement with Quikfuzion.

If there is a conflict between these Terms and a separately executed written agreement between Quikfuzion and a customer, the separately executed agreement will control with respect to the subject matter covered by that agreement.

ELIGIBILITY AND BUSINESS USE

You must be at least 18 years old to use the Services.

If you access or use the Services on behalf of a company, insurance agency, brokerage, carrier, MGA, wholesaler, network, aggregator, or other organization, you represent that you have authority to bind that organization to these Terms.

The Services are primarily intended for business and professional use.

ACCEPTABLE USE

You agree to use the Services only for lawful business purposes.

You may not use the Services to:

  • violate any federal, state, local, or international law or regulation;

  • commit or facilitate fraud;

  • create, alter, or submit intentionally false insurance information;

  • impersonate another person or organization;

  • access information you are not authorized to access;

  • interfere with the operation or security of the Services;

  • introduce malware, viruses, malicious code, or harmful software;

  • attempt to gain unauthorized access to Quikfuzion systems or other users’ accounts;

  • reverse engineer, decompile, disassemble, or otherwise attempt to derive source code except where such restrictions are prohibited by law;

  • copy, scrape, reproduce, or commercially exploit Quikfuzion technology without authorization;

  • conduct unauthorized automated scanning, penetration testing, or vulnerability testing;

  • use the Services to infringe the intellectual property, privacy, or contractual rights of another party; or

  • use Quikfuzion’s artificial intelligence functionality to generate or process unlawful, fraudulent, misleading, or unauthorized information.

Quikfuzion may restrict or suspend access when reasonably necessary to protect the Services, users, data, or third parties.

FUZIONAI AND ARTIFICIAL INTELLIGENCE

Certain Quikfuzion Services use artificial intelligence, machine learning, automated extraction, document recognition, and related technologies.

FuzionAI may analyze insurance-related documents and extract, organize, map, transform, or convert information contained within those documents into structured data or other formats.

Depending upon the applicable service, outputs may include information used to:

  • populate AMP;

  • create or populate ACORD forms;

  • create structured policy information;

  • generate AL3 or other standardized insurance data;

  • assist with policy downloads;

  • assist with customer or policy creation;

  • process endorsements;

  • update existing information; or

  • support other insurance agency workflows.

AI Outputs May Require Verification

Artificial intelligence and automated data extraction technologies are not infallible.

Although Quikfuzion designs its Services to provide accurate results, Quikfuzion does not warrant that artificial intelligence-generated or extracted information will always be complete, accurate, current, or free of errors.

Users are responsible for reviewing and validating information when appropriate before relying upon, transmitting, issuing, filing, or otherwise using that information.

Original Documents Control

FuzionAI and other Quikfuzion technologies assist in extracting and organizing information from insurance documents.

They do not modify the terms of an insurance policy, endorsement, binder, contract, or other underlying insurance document.

If information generated, extracted, displayed, or transmitted through Quikfuzion differs from an original insurance policy, endorsement, contract, or carrier-issued document, the original governing document controls.

No Creation of Insurance Coverage

Information displayed, extracted, populated, transmitted, or generated through Quikfuzion does not independently create, amend, expand, reduce, bind, or cancel insurance coverage.

Only authorized insurers and properly authorized insurance professionals may take actions regarding insurance coverage in accordance with applicable law and carrier requirements.

PROFESSIONAL RESPONSIBILITY

Quikfuzion provides technology.

Quikfuzion is not acting as an insurance carrier, insurance broker, insurance agent, attorney, accountant, financial adviser, or other professional adviser merely by providing the Services.

Customers and users remain responsible for their own:

  • insurance transactions;

  • coverage recommendations;

  • policy interpretations;

  • certificates of insurance;

  • applications;

  • submissions;

  • binders;

  • endorsements;

  • accounting entries;

  • regulatory obligations;

  • licensing requirements; and

  • professional responsibilities.

Users should apply their own professional judgment when using information provided through the Services.

USER DATA AND DOCUMENTS

You may upload, transmit, import, or otherwise provide information, documents, files, policy information, customer information, or other data through the Services (“Customer Data”).

As between you and Quikfuzion, you retain ownership of your Customer Data, subject to any rights held by third parties.

You represent that you have the necessary rights, authority, permissions, and lawful basis to provide Customer Data to Quikfuzion for processing.

You authorize Quikfuzion to process Customer Data as reasonably necessary to:

  • provide the Services;

  • process insurance documents;

  • perform data conversions;

  • provide technical support;

  • maintain and secure the Services;

  • troubleshoot technical problems;

  • perform requested integrations;

  • improve functionality where legally and contractually permitted; and

  • fulfill Quikfuzion’s contractual obligations.

Additional requirements relating to confidential information, personal information, security, retention, or processing may be addressed in a separate customer agreement or Data Processing Agreement.

PRIVACY

Your use of the Services is also subject to Quikfuzion’s Privacy Policy.

The Privacy Policy describes how Quikfuzion collects, uses, maintains, and protects personal information.

By using the Services, you acknowledge that information will be handled in accordance with the applicable Privacy Policy and any additional contractual agreements governing your organization.

INTELLECTUAL PROPERTY

Quikfuzion and its licensors retain all rights, title, and interest in and to the Services, including:

  • software;

  • source code;

  • object code;

  • algorithms;

  • artificial intelligence workflows;

  • system architecture;

  • user interfaces;

  • designs;

  • databases;

  • documentation;

  • trademarks;

  • service marks;

  • logos;

  • graphics;

  • text;

  • proprietary processes;

  • data structures; and

  • other intellectual property.

Except for the limited rights necessary to use the Services as authorized, no intellectual property rights are transferred to you.

“Quikfuzion,” “AMP,” “FuzionAI,” associated logos, product names, and other Quikfuzion branding may be trademarks or service marks of Quikfuzion.

Third-party names, products, trademarks, forms, standards, and services remain the property of their respective owners.

FEEDBACK

If you voluntarily provide suggestions, recommendations, ideas, enhancement requests, or other feedback regarding the Services, you grant Quikfuzion the right to use that feedback without restriction or compensation to you.

This provision does not transfer ownership of your confidential Customer Data to Quikfuzion.

THIRD-PARTY SERVICES AND INTEGRATIONS

Quikfuzion may integrate with or provide access to third-party products and services.

These may include insurance industry services, data providers, carriers, download providers, cloud providers, email providers, electronic signature services, premium finance providers, payment processors, accounting services, and other technology platforms.

Third-party services are controlled by their respective providers and may be governed by separate terms and privacy policies.

Quikfuzion is not responsible for:

  • interruptions caused by third-party services;

  • changes made by third-party providers;

  • discontinuation of third-party services;

  • third-party data accuracy;

  • third-party system availability; or

  • acts or omissions of independent third parties outside Quikfuzion’s reasonable control.

Availability of an integration does not guarantee that the third-party provider will continue to support that integration.

ACORD AND INDUSTRY STANDARDS

Certain Quikfuzion Services may use or interact with insurance industry standards, forms, formats, or technologies.

All third-party forms, standards, trademarks, and related intellectual property remain the property of their respective owners.

Reference to a third-party standard, company, carrier, or technology does not imply ownership by Quikfuzion or endorsement of Quikfuzion unless expressly stated.

PRICING AND PAYMENT INFORMATION

Pricing displayed on the Quikfuzion website is intended to provide general information regarding available products and services.

Actual pricing may depend upon the product, number of users, transaction volume, optional services, implementation requirements, integrations, data conversions, artificial intelligence processing, or other factors.

Pricing applicable to a customer will be established through the applicable order, subscription, proposal, or customer agreement.

Applicable taxes and specifically authorized third-party or optional charges may be additional.

Quikfuzion may change publicly displayed pricing or introduce new products or features at any time. Changes will not modify an existing contractual pricing commitment except as permitted by the applicable customer agreement

SERVICE AVAILABILITY AND CHANGES

Quikfuzion continuously develops its technology.

We may add, modify, improve, replace, or discontinue website content, features, integrations, or Services.

We do not guarantee that the public website or every feature will be available at all times or without interruption.

Planned maintenance, emergency maintenance, internet failures, cloud provider disruptions, telecommunications problems, cyber incidents, third-party failures, force majeure events, and other circumstances may temporarily affect availability.

Any specific service-level commitment provided to a customer will be governed by the applicable customer agreement.

DEMONSTRATIONS, TRIALS, AND TEST ENVIRONMENTS

Quikfuzion may make demonstrations, test environments, sandbox environments, beta features, previews, or trial functionality available.

Unless expressly stated otherwise, these features are provided for evaluation purposes and may be modified or discontinued.

Test, beta, preview, and evaluation functionality should not be relied upon as production functionality unless Quikfuzion specifically authorizes such use.

WEBSITE CONTENT

Quikfuzion makes reasonable efforts to keep information on its website accurate and current.

However, website information may occasionally contain:

  • typographical errors;

  • outdated information;

  • technical inaccuracies;

  • incomplete descriptions; or

  • information about features that have subsequently been modified.

Quikfuzion may update website content without notice.

Website marketing materials and descriptions do not modify the terms of a separately executed customer agreement.

LINKS TO OTHER WEBSITES

The Quikfuzion website may contain links to websites operated by third parties.

These links are provided for convenience and do not necessarily constitute an endorsement.

Quikfuzion does not control third-party websites and is not responsible for their content, availability, security, privacy practices, products, or services.

Your use of third-party websites is subject to the terms and policies of those third parties.

DISCLAIMER OF WARRANTIES

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE QUIKFUZION WEBSITE AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” EXCEPT FOR ANY EXPRESS WARRANTIES CONTAINED IN A SEPARATELY EXECUTED CUSTOMER AGREEMENT.

QUIKFUZION DISCLAIMS ALL WARRANTIES NOT EXPRESSLY PROVIDED IN WRITING, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

QUIKFUZION DOES NOT WARRANT THAT:

  • THE SERVICES WILL BE COMPLETELY ERROR-FREE;

  • THE SERVICES WILL BE AVAILABLE WITHOUT INTERRUPTION;

  • EVERY AI-GENERATED OR EXTRACTED RESULT WILL BE COMPLETELY ACCURATE;

  • EVERY THIRD-PARTY INTEGRATION WILL REMAIN AVAILABLE; OR

  • THE SERVICES WILL SATISFY EVERY INDIVIDUAL BUSINESS REQUIREMENT.

Nothing in this section limits any express warranty contained in a separately executed customer agreement.

LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, QUIKFUZION AND ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR RELATING TO USE OF THE WEBSITE OR SERVICES.

THIS INCLUDES, WITHOUT LIMITATION, DAMAGES ARISING FROM:

  • LOST PROFITS;

  • LOST REVENUE;

  • LOST BUSINESS OPPORTUNITIES;

  • BUSINESS INTERRUPTION;

  • LOSS OF DATA;

  • LOSS OF GOODWILL; OR

  • RELIANCE UPON INFORMATION THAT THE USER FAILED TO REVIEW OR VERIFY WHEN REVIEW WAS REASONABLY REQUIRED.

FOR CLAIMS ARISING SOLELY FROM USE OF THE PUBLIC WEBSITE AND WHERE NO SEPARATE CUSTOMER AGREEMENT APPLIES, QUIKFUZION’S TOTAL AGGREGATE LIABILITY WILL NOT EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100) OR THE AMOUNT YOU PAID QUIKFUZION SPECIFICALLY FOR THE WEBSITE SERVICE GIVING RISE TO THE CLAIM DURING THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Where a separately executed customer agreement establishes different limitations of liability, that agreement will control.

Some jurisdictions do not permit certain exclusions or limitations of liability, so portions of this section may not apply in all circumstances.

INDEMNIFICATION

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Quikfuzion and its officers, directors, employees, affiliates, and representatives from third-party claims, liabilities, damages, and reasonable costs arising from:

  • your unlawful use of the Services;

  • your violation of these Terms;

  • your infringement of another party’s rights;

  • Customer Data you provide without the necessary rights or authorization;

  • fraudulent or intentionally misleading information submitted through your account; or

  • your violation of applicable law.

Any indemnification obligations contained in a separately executed customer agreement will control over this section for customers subject to that agreement

SUSPENSION AND TERMINATION

Quikfuzion may suspend or restrict access to the Services when reasonably necessary because of:

  • a material violation of these Terms;

  • a material security risk;

  • suspected fraud or unlawful activity;

  • unauthorized access;

  • failure to pay amounts when due under an applicable customer agreement; or

  • circumstances requiring suspension to protect Quikfuzion, its customers, or third parties.

Termination of paid Services will otherwise be governed by the applicable subscription or customer agreement.

Sections that by their nature should survive termination will remain effective, including provisions relating to intellectual property, disclaimers, limitations of liability, and indemnification.

ELECTRONIC COMMUNICATIONS

By communicating with Quikfuzion electronically, you consent to receive communications from us electronically where permitted by law.

Electronic communications may include email, website notices, account notifications, or communications through the Services.

You agree that electronic communications may satisfy legal requirements that communications be provided in writing, to the extent permitted by applicable law.

Marketing communications remain subject to applicable law and your communication preferences.

EXPORT AND LEGAL COMPLIANCE

You agree not to use, export, re-export, transfer, or make the Services available in violation of applicable export control, sanctions, or trade laws.

You are responsible for compliance with laws and regulations applicable to your organization and your use of the Services

CHANGES TO THESE TERMS

Quikfuzion may update these Terms periodically to reflect changes in:

  • our Services;

  • technology;

  • business practices;

  • legal requirements; or

  • regulatory requirements.

When material changes are made, Quikfuzion will update the “Effective Date” shown at the top of these Terms and may provide additional notice when appropriate.

Your continued use of the public website following an effective change constitutes acceptance of the updated Terms.

Changes to separately negotiated customer contracts will be governed by those contracts and will not be made merely by changing these website Terms.

GOVERNING LAW

These Terms will be governed by and interpreted in accordance with the laws of the Commonwealth of Pennsylvania, without regard to its conflict-of-law principles.

Unless otherwise provided in a separately executed agreement, any legal proceeding relating to these Terms or the public website will be brought in a court of competent jurisdiction located in Lancaster County, Pennsylvania, and the parties consent to jurisdiction and venue in those courts.

SEVERABILITY

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

The invalid or unenforceable provision will be interpreted or modified to the minimum extent necessary to make it enforceable where permitted by law.

NO WAIVER

Quikfuzion’s failure to enforce any provision of these Terms will not constitute a waiver of that provision or any other right.

ENTIRE AGREEMENT

These Terms, together with the Privacy Policy and any additional terms expressly incorporated by reference, constitute the agreement governing use of the public website.

For customers who have entered into a separate written agreement with Quikfuzion, that separate agreement remains part of the parties’ contractual relationship and controls where applicable.
